Guidewire Acquires AI Underwriting Startup Hyperexponential for $1.7 Billion

Last Updated: October 29, 2026By

Insurance technology company Guidewire has announced an agreement to acquire Hyperexponential, a company specialising in artificial intelligence powered underwriting software, for $1.7 billion in cash.

The acquisition, announced on Oct 27, is intended to strengthen Guidewire’s capabilities in insurance underwriting, risk analysis and pricing.
The transaction is expected to close in 2027, subject to the necessary closing conditions and approvals. The deal is valued at approximately $2 billion when additional potential payments are included.

Guidewire has reserved another $400 million in consideration that would become payable if Hyperexponential achieves specified revenue targets.
The structure links part of the total transaction value to the company’s future financial performance, giving the acquisition an additional performance based component.

Founded in 2017, Hyperexponential develops software that helps insurers assess risks, analyse complex data and determine appropriate insurance prices.

Its technology is designed to support underwriting teams by improving calculations and decision making.
The company has reported that nearly 600 insurers across 40 countries use its software, demonstrating its presence in the international insurance technology market.

Hyperexponential has received backing from venture capital firms including Andreessen Horowitz and Battery Ventures.

According to PitchBook, the company had raised nearly $90 million before the acquisition announcement. The proposed transaction represents a substantial potential return for its investors, although the final financial outcome will depend on the terms of the deal and whether the additional performance targets are achieved.

Guidewire expects the acquisition to help bring AI agents into insurance operations, where they could work alongside human professionals to support underwriting, risk assessment and pricing decisions.

The move reflects a wider shift across financial services towards integrating artificial intelligence into specialised business processes.
If completed as planned, the acquisition could strengthen Guidewire’s position in insurance software while expanding its ability to automate complex analytical tasks.
